1. Agreement to Terms

By accessing or using the Syncademia platform at syncademiaai.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Syncademia AI Inc., a corporation incorporated under the Canada Business Corporations Act (Corporation Number 2262205739), with its registered office at 251 Lester Street, Waterloo, ON, Canada.


2. Description of Service

Syncademia is an AI-powered student productivity and academic planning platform designed for university and post-secondary students. Syncademia AI is not an official university service. It is not affiliated with, endorsed by, sponsored by, or operated by the University of Waterloo, WUSA, or any other institution. The Service includes:

  • Course tracking and academic planning tools
  • AI tutoring and study assistance
  • Document upload and AI-generated task creation
  • Deadline and exam management
  • Study group features
  • Wellness and academic support tools
  • Scheduling and deadline management

3. Eligibility

To use the Service, you must:

  • Be enrolled in or have been enrolled in a post-secondary institution, or be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

If you are between 13 and 18, you represent that you have obtained parental or guardian consent to use the Service.


4. Accounts

4.1 Registration

To access the Service, you must create an account using a valid email address or by signing in through Google or Microsoft. You agree to provide accurate and complete information and to keep your account information up to date.

4.2 Google Sign In

When you sign in with Google, Syncademia AI receives your name, email address, profile picture, and Google account identifier. Sign-in uses only openid, email, and profile scopes.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at syncademiaai@gmail.com if you suspect unauthorized access to your account.

4.4 One Account Per Person

You may not create multiple accounts or share your account with others. Accounts registered by automated means are prohibited.


5. Subscriptions and Billing

5.1 Free and Paid Plans

Syncademia offers a free plan and paid subscription plans (Plus and Pro). Features available on each plan are described on our pricing page at syncademiaai.com/pricing.

5.2 Billing

Paid subscriptions are billed on a monthly or annual basis depending on the plan you select. All payments are processed securely by Stripe Inc. By subscribing, you authorize us to charge your payment method on a recurring basis.

5.3 Trials

We may offer free trial periods. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged.

5.4 Cancellation

You may cancel your subscription at any time through Settings → Billing or by contacting syncademiaai@gmail.com. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods except where required by law.

5.5 Price Changes

We may change subscription prices with at least 30 days written notice. Continued use of the Service after a price change constitutes acceptance of the new price.

5.6 Taxes

Prices displayed may not include applicable taxes. You are responsible for any taxes applicable to your subscription under the laws of your jurisdiction.


6. Acceptable Use

6.1 Permitted Use

You may use the Service solely for your own personal, non-commercial academic purposes.

6.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload, share, or transmit content that is infringing, defamatory, obscene, or harmful
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools, bots, or scrapers to access the Service
  • Impersonate another person or misrepresent your affiliation with any institution
  • Use the Service to generate academic work you intend to submit as your own in violation of your institution's academic integrity policies
  • Resell, sublicense, or commercialize the Service or its outputs
  • Interfere with the security or integrity of the Service
  • Upload malicious code, viruses, or harmful content

6.3 Academic Integrity

Syncademia is designed to assist with your learning, not to replace it. You are solely responsible for ensuring your use of the Service complies with your institution's academic integrity policies. We are not liable for any academic consequences resulting from your use of AI-generated content.


7. User Content

7.1 Your Content

Users may upload, enter, submit, or generate content through Syncademia AI, including notes, documents, course materials, schedules, prompts, files, and other study related content. You are responsible for the content you upload or submit. You confirm that you own the content, created it, have permission to use it, or are otherwise allowed to use it for your personal study, research, education, or productivity purposes. You agree not to upload content that violates copyright, privacy rights, academic integrity rules, school policies, confidentiality obligations, or the rights of another person. You retain ownership of your content. By uploading or submitting content, you give Syncademia AI permission to process, store, transmit, analyze, and display that content only as needed to provide the platform's study, productivity, organization, and AI features. Syncademia AI does not guarantee that any uploaded content is legally permitted, academically permitted, or allowed by your school or instructor. Syncademia AI may remove, restrict, or disable access to content if we believe it violates these Terms, creates risk, or is the subject of a valid complaint.

7.2 License to Us

By uploading User Content, you grant Syncademia AI Inc. a limited, non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you. We do not use your User Content to train AI models without your explicit consent.

7.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine in our sole discretion to be harmful or inappropriate.


8. AI Features and Limitations

8.1 Nature of AI Output

The AI features within Syncademia generate content based on patterns in training data. AI-generated content may be inaccurate, incomplete, or outdated. You should always verify AI-generated information independently, especially for academic, medical, legal, or financial matters.

8.2 No Professional Advice

Nothing in the Service constitutes academic advising, counselling, medical advice, legal advice, financial advice, or any other form of professional advice. AI tutoring features are tools to assist your learning and do not replace qualified professional or academic guidance. The AI is not a replacement for official academic advising, counselling, medical, or legal services.

8.3 Third-Party AI Providers

AI features are powered by OpenAI. Syncademia AI may also use Google Gemini as a fallback AI provider. Your prompts and relevant context may be sent to these providers to generate responses. Your use of AI features is also subject to those providers' applicable terms and policies.


9. Intellectual Property

9.1 Our Property

The Service, including its software, design, features, branding, and all content created by Syncademia (excluding User Content), is owned by Syncademia AI Inc. and protected by Canadian and international intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without our prior written consent.

9.2 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation to you.


10. Third-Party Services

The Service integrates with third-party services including Google, Microsoft, and Stripe. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.


11. Privacy

Your use of the Service is governed by our Privacy Policy at syncademiaai.com/privacy, which is incorporated into these Terms by reference.


12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • ANY ERRORS WILL BE CORRECTED
  • THE SERVICE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • AI-GENERATED CONTENT IS ACCURATE, COMPLETE, OR RELIABLE

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCADEMIA AI INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF ACADEMIC STANDING, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.


14. Indemnification

You agree to indemnify, defend, and hold harmless Syncademia AI Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from:

  • Your use of the Service in violation of these Terms
  • Your User Content
  • Your violation of any applicable law or third-party rights

15. Termination

15.1 By You

You may delete your account and all associated data at any time through Settings → Privacy & Data → Delete Account or by contacting us at syncademiaai@gmail.com. Upon account deletion, we will delete or de-identify your uploaded files, chat history, courses, tasks, and personal data, subject to legal, billing, security, backup, fraud prevention, and dispute resolution requirements.

15.2 By Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. We will provide notice where reasonably practicable.

15.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections 7, 9, 12, 13, 14, 16, and 17 survive termination.


16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.


17. General

17.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Syncademia AI Inc. regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
